Business Tax for a starting company...

Hello !

We have incorporated (LLC incorporated in Delaware state) in march 2004 but we still didn't start the business. No sales, no turnover, no activity. I would like to know if we have to do any accountant or tax process at the end of this year? Is there any tax papers we must fill?

Probably need to fill out everything anyone - state, federal, local - that's been sent. Just put in zero's, sign and mail. You can be penalized (charged a late fee) for late filing, even if you owe nothing.

Thank you for your answer.

So if I understood correctly, we need to fill out all the papers with 0, sign and mail. Do I need to contact a tax lawyer for that? what about the accountancy documents? Is there some website that can help me to do all the stuff alone?

Walter... The last I knew a LLC (limited liability company), regardless of what state you organized, is not a corporation but may elect to be taxed as a corporation (a dumb idea in most cases). An LLC does, however, give you the same liability protection as a corporation. no big deal.

Thanks old jack! But do I need to contact a tax lawyer at the end of december if my company has no activity (no sales, no cost just incorporated in february) for the moment? what about the accountancy documents? Is there some website that can help me to do all the stuff alone?

Lawyer not needed unless you need to sue someone. You said "we" in your first comment... I assume you have more than one owner. A LLC with more than one owner normally files a form 1065 (partnership tax return) before 4/15/05 showing zero activity if you have no transactions to report. http://irs.gov/pub/irs-pdf/f1065.pdf

Some tax programs don't like to print a zero tax form and if that is the case you just write across the middle of the page "no transaction to report" and sign, date, and mail the form. Same with a state form.

If at the time you set up the company you filed a IRS form 2553, "election by a small business corporation" or IRS form 8832 "entity classification election", then you would file IRS form 1120s with zeros.

I doubt you need to do anything else unless it is some state form. You are probably at the best website to get whatever help you need unless you are wanting someone to do the work for you and I doubt you are going to find that without hiring someone.

You keep saying you "incorporated" but that you are a LLC. Only a corporation is incorporated and an LLC is a company and not a corporation. Its no big deal except that it misleads people and could get you sued.
